Organiser Terms & Conditions
Applies to organisers who create an account, list an event, sell tickets, or use organiser tools on Spotlyte.
These Organiser Terms & Conditions ("Terms") form a binding agreement between Spotlyte, a digital event ticketing and management platform operated as a sole proprietorship from the registered business address stated below ("Spotlyte", "Platform", "we", "us", or "our"), and the person or entity registering or acting as an event organiser ("Organiser", "you", or "your").
1. Acceptance and scope
1.1By creating an Organiser account, clicking an acceptance checkbox, listing an Event, selling or issuing a Ticket, or using organiser features, you agree to these Terms and the policies incorporated by reference.
1.2These Terms apply only to the relationship between Spotlyte and Organisers. Attendee bookings are also subject to Spotlyte's attendee-facing terms, privacy policy, and Refund & Cancellation Policy.
1.3If you act for a company, firm, society, trust, venue, artist, or other organisation, you confirm that you have authority to bind that person or entity.
2. Definitions
2.1"Event" means any event, activity, experience, performance, gathering, or admission opportunity listed through the Platform.
2.2"Attendee" means a person who registers for, books, or purchases a Ticket through the Platform.
2.3"Ticket" means a paid or free right of entry, registration, booking, pass, or admission issued through the Platform.
2.4"Gross Sales" means the total amount collected from Attendees for paid Tickets before deductions.
2.5"Platform Fee" means Spotlyte's commission or service fee as displayed in the Organiser dashboard, applicable fee schedule, or Event setup flow.
2.6"Net Proceeds" means Gross Sales less all applicable deductions under these Terms and the Payout & Settlement Policy.
3. Eligibility, registration, and account security
3.1You must be at least 18 years old and legally capable of entering into a contract.
3.2You must provide accurate, complete, and current information, including your legal or entity details, contact details, PAN, GST details where applicable, Event information, and verified bank account details.
3.3Spotlyte may request KYC, identity, address, entity, tax, or bank verification documents before activating features, approving listings, or releasing payouts. Verification may be carried out directly or through third-party service providers.
3.4You are responsible for your login credentials and all activity under your account. You must promptly notify support@spotlyte.app of suspected unauthorised use or security incidents.
3.5Spotlyte may reject, limit, suspend, or close an account that cannot be verified, appears fraudulent, presents legal or safety risk, or breaches these Terms.
4. Spotlyte's role
4.1Spotlyte is an intermediary technology platform that provides tools for Event listing, Ticket sales, payment collection, attendee communication, and check-in. Unless expressly stated otherwise, Spotlyte does not organise, host, control, supervise, or deliver your Event.
4.2You are the seller and host of your Event. The contract relating to attendance and delivery of the Event is between you and the Attendee.
4.3You appoint Spotlyte as your limited payment collection agent solely to collect Ticket payments from Attendees on your behalf. Payment by an Attendee to Spotlyte discharges that Attendee's payment obligation to you for the amount paid, whether or not Spotlyte has yet settled the amount to you.
4.4Spotlyte does not guarantee Ticket sales, placement, visibility, attendance, revenue, or promotional outcomes.
5. Organiser responsibilities
5.1You must deliver each Event materially as listed and honour entry for each valid Ticket, subject only to lawful and clearly disclosed entry conditions.
5.2You are solely responsible for the Event venue, performers, staff, suppliers, security, crowd management, first aid, accessibility arrangements, attendee support, and all operational decisions.
5.3You must obtain and maintain all permissions, licences, approvals, consents, and insurance required for your Event, including venue rights, police permissions, fire and safety approvals, liquor licences, local-authority permits, and music performance licences where applicable.
5.4You must comply with all applicable laws, including consumer protection, tax, safety, intellectual property, advertising, data protection, and local Event requirements.
5.5You must provide reasonable Event-specific support and respond to Attendee or Spotlyte escalations within the period requested, ordinarily within 48 hours.
5.6You must not use the Platform for fraud, fake or self-funded sales, money laundering, review manipulation, ranking manipulation, unlawful fundraising, or any activity intended to mislead Spotlyte, Attendees, payment partners, or authorities.
6. Listings and content
6.1Every listing must be accurate, complete, lawful, and not misleading. It must clearly state the Event name, date, time, venue, Ticket categories, prices, taxes or charges, age restrictions, entry rules, refund or cancellation conditions, and any material limitation.
6.2You must promptly update the listing and notify affected Attendees if material details change.
6.3You must own or hold all licences and permissions for the text, images, videos, logos, artist names, music, trademarks, and other content you upload.
6.4Prohibited listings and content are governed by the Listing & Content Policy, which forms part of these Terms.
6.5Spotlyte may review, decline, reformat, unpublish, suspend sales for, or remove a listing where it may be unlawful, unsafe, misleading, infringing, inconsistent with Platform standards, or subject to a complaint or legal notice.
6.6You must not redirect an Attendee who discovered or booked your Event through Spotlyte to pay outside the Platform for the purpose of avoiding Platform Fees.
7. Ticket pricing, fees, and taxes
7.1You set your Ticket prices, subject to Platform configuration and applicable law. The price and tax treatment shown to Attendees must match the Event setup and checkout display.
7.2The applicable Platform Fee, GST on Spotlyte's fees, payment gateway charges, and any other disclosed charges will be shown in the dashboard, fee schedule, or Event setup flow. By publishing the Event or continuing sales after notice, you accept those charges.
7.3Any fee applicable to free Tickets or registrations will be shown before the listing is published or before the relevant feature is used.
7.4You are responsible for your own tax registrations, invoicing, collection, reporting, and filing in relation to Ticket revenue, including GST where applicable. Spotlyte may make statutory deductions, including TCS or TDS, where required by law.
8. Payments and settlement
8.1Spotlyte collects payments through payment gateway partners as your limited collection agent and settles Net Proceeds to your verified bank account in accordance with the Payout & Settlement Policy.
8.2Eligible Organisers may receive up to two payouts per Event. Payout availability, amount, reserve, required documents, and expected processing timeline will be shown in the dashboard or communicated after sign-up.
8.3Spotlyte may withhold, delay, reverse, or set off amounts reasonably required for refunds, chargebacks, disputes, suspected fraud, legal compliance, negative balances, or other amounts you owe.
8.4Bank and payment gateway processing times are outside Spotlyte's control. A payout is complete only when credited to the verified bank account.
9. Refunds, cancellations, postponements, and chargebacks
9.1Refunds are processed in accordance with Spotlyte's attendee-facing Refund & Cancellation Policy and the Event terms disclosed at checkout. Refund amounts are funded from your Gross Sales and may be deducted from current or future settlements.
9.2If you cancel, postpone, relocate, or materially change an Event, you must notify Spotlyte immediately and no later than 24 hours after the decision. You must cooperate with Attendee communication and refund processing.
9.3If amounts held by Spotlyte are insufficient to fund required refunds, chargebacks, or costs, you must pay the shortfall within seven days of demand, unless Spotlyte agrees otherwise in writing.
9.4Chargebacks and gateway-imposed chargeback fees may be deducted from your settlements. You must provide requested evidence, such as entry logs, Event delivery records, communications, and refund terms, within the stated deadline.
9.5The treatment of Platform Fees and non-refundable gateway charges on refunded transactions will follow the fee information accepted by you and the Payout & Settlement Policy.
10. Attendee data and communications
10.1Spotlyte may provide you with Attendee data reasonably needed to operate the Event, such as names, Ticket details, contact details where necessary, and check-in information.
10.2You may use Attendee data only to deliver, administer, communicate about, and support the booked Event, or for another lawful purpose for which the Attendee has separately consented.
10.3You must not sell Attendee data, use it for unrelated profiling, disclose it to unnecessary third parties, or send marketing messages without valid consent.
10.4You must apply reasonable security safeguards, limit access, retain data only as long as needed, and notify complaints@spotlyte.app within 72 hours of becoming aware of a breach involving Attendee data.
10.5You must comply with applicable data protection law, including the Digital Personal Data Protection Act, 2023, to the extent applicable.
11. Intellectual property
11.1You retain ownership of the content you upload. You grant Spotlyte a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format, distribute, and promote that content on and off the Platform for the purpose of operating and promoting the Event and Spotlyte.
11.2You represent that you have all rights and permissions required for your content and Event promotion. You are responsible for claims arising from your content or use of third-party rights.
11.3The Spotlyte name, logo, software, design, and Platform materials belong to Spotlyte or its licensors. You may not use them outside the Platform without prior written permission, except to truthfully state that an Event is listed on Spotlyte.
12. Suspension and termination
12.1Either party may terminate the Organiser relationship by giving 30 days' written notice, but obligations relating to Events already on sale or already held will continue until fully resolved.
12.2Spotlyte may immediately suspend or terminate an account, remove listings, pause sales, restrict features, or hold settlements where there is suspected fraud, legal or safety risk, excessive complaints or chargebacks, failed verification, breach of these Terms, or a requirement from a bank, gateway, regulator, court, or authority.
12.3After termination, Spotlyte will calculate amounts due after deductions and may retain a reasonable reserve for up to 180 days, or longer where required by a pending dispute or law, to cover refunds, chargebacks, reversals, and claims.
12.4Clauses concerning payments, refunds, data, intellectual property, indemnity, liability, disputes, and other provisions intended to survive will continue after termination.
13. Disclaimers
13.1The Platform is provided on an "as is" and "as available" basis. Spotlyte does not warrant uninterrupted, error-free, or completely secure operation.
13.2Spotlyte is not responsible for the conduct, quality, safety, legality, cancellation, postponement, delivery, or outcome of your Event, or for acts and omissions of venues, artists, contractors, suppliers, Attendees, banks, or gateways.
13.3Nothing in these Terms excludes obligations or liability that cannot lawfully be excluded.
14. Indemnity
14.1You agree to indemnify and hold harmless Spotlyte, its representatives, employees, service providers, and agents from claims, losses, penalties, damages, liabilities, and reasonable legal costs arising from or relating to your Event; injury, loss, or damage at the Event; your listing or content; infringement of third-party rights; breach of these Terms or law; missing permits or licences; cancellation or failure to fund refunds; tax obligations; or misuse of Attendee data.
15. Limitation of liability
15.1To the maximum extent permitted by law, Spotlyte will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, including lost profits, lost opportunity, loss of goodwill, or business interruption.
15.2To the maximum extent permitted by law, Spotlyte's total aggregate liability to you arising from these Terms will not exceed the Platform Fees paid or payable by you during the 12 months immediately preceding the event giving rise to the claim.
15.3Nothing in this clause limits liability that cannot be limited under applicable law.
16. Changes to these Terms and fees
16.1Spotlyte may update these Terms, incorporated policies, or fees by providing reasonable notice through email, the dashboard, or the Platform. Material changes will ordinarily be notified at least 30 days before they apply to new listings, unless a shorter period is required for law, security, fraud prevention, or payment partner requirements.
16.2Continued use after the effective date constitutes acceptance. If you do not agree, you may stop creating new listings and terminate the Organiser relationship, subject to existing Event obligations.
17. Notices, force majeure, assignment, and relationship
17.1Notices to Spotlyte may be sent to complaints@spotlyte.app or delivered to the registered business address stated in Section 20. Notices to you may be sent to your registered email or dashboard and are treated as received 24 hours after sending, unless delivery fails.
17.2Neither party is liable for delay or failure caused by circumstances beyond reasonable control, but Event cancellation, Attendee communication, and refund obligations remain governed by the applicable policies.
17.3You may not assign your rights or obligations without Spotlyte's written consent. Spotlyte may assign these Terms to an affiliate, successor, or purchaser of the Platform or business.
17.4The parties are independent contractors. Except for the limited payment collection agency described above, nothing creates a partnership, employment, franchise, joint venture, or general agency relationship.
18. Governing law and disputes
18.1These Terms are governed by the laws of India.
18.2The parties should first attempt in good faith to resolve any dispute through written notice and discussion. Subject to applicable law, the courts having jurisdiction over Nagercoil, Tamil Nadu, will have exclusive jurisdiction.
18.3If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a right is not a waiver.
19. Entire agreement
19.1These Terms, together with the Organiser Privacy Policy, Payout & Settlement Policy, Listing & Content Policy, attendee-facing Refund & Cancellation Policy, and any Event-specific fee or commercial terms accepted by you, form the entire agreement concerning your use of the Platform as an Organiser.
